1. Agreement
These Terms & Conditions ("Terms") are a binding agreement between you and PassIntel Inc., a corporation incorporated under the Canada Business Corporations Act ("PassIntel," "we," "us"). They govern your use of the website at passintel.co (the "Site") and, if you hold an account, the PassIntel airspace and satellite intelligence platform, including dashboards, APIs, alerts, and reports (the "Platform," and together with the Site, the "Services").
By accessing the Services, you accept these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to the organization.
2. Eligibility
The Services are business tools intended for users 18 and older acting in a professional capacity.
3. Order of Precedence
If your organization has signed a separate written agreement with PassIntel (such as a master services agreement, order form, or pilot agreement), that agreement governs your use of the Platform to the extent of any conflict with these Terms.
4. Accounts
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@passintel.co of any suspected unauthorized use. You agree to provide accurate registration information and keep it current.
5. Subscriptions and Payment
Access to paid Platform features requires a subscription on the pricing terms presented at purchase or in your signed agreement. Unless your agreement says otherwise:
- Fees are billed in advance and are non-refundable except as required by law
- Subscriptions renew automatically until cancelled
- We may change pricing with at least 30 days notice before your next renewal
- Taxes are your responsibility, excluding taxes on our income
Payment processing is handled by a third-party processor. PassIntel does not store full payment card details.
6. The Nature of the Intelligence: Important Disclaimers
This section matters. Read it.
Decision support, not compliance determinations. The Platform provides intelligence to support your operational and compliance decisions. It does not make compliance determinations, provide legal advice, or substitute for your own regulatory obligations, inspections, or professional judgment. You remain solely responsible for compliance with all laws and regulations applicable to your operations.
Probabilistic outputs. Detection events, severity scores, classifications, satellite pass predictions, and imaging probability estimates are derived from models applied to third-party data. They are estimates with inherent uncertainty, not guarantees. Satellite pass predictions are orbital mechanics calculations, not live telemetry, and prediction precision varies with the forecast window.
Third-party data sources. The Platform relies on data from third parties, including aircraft transponder data from licensed commercial providers, public aircraft registries, published satellite orbital elements, and weather data services. We do not control these sources and do not warrant their accuracy, completeness, or continuity. Coverage gaps exist: aircraft without functioning transponders, signals outside receiver coverage, and unpublished or delayed source data will not appear in the Platform.
No guarantee of detection. The Platform may not detect every aircraft activity or predict every satellite observation relevant to your assets. Absence of an alert is not evidence that no activity occurred.
Compliance reports. Reports generated by the Platform carry integrity verification so that the report content can be confirmed as unaltered since generation. This verifies the integrity of the record, not the legal sufficiency of the report for any particular regulatory purpose.
7. Acceptable Use
You agree not to:
- Resell, redistribute, or syndicate Platform data or outputs to third parties except as expressly permitted in your signed agreement
- Scrape, crawl, or bulk-extract content from the Services
- Reverse engineer, decompile, or attempt to derive source code, models, or scoring methodologies
- Use the Services to stalk, harass, or track any individual, or for any unlawful surveillance purpose
- Circumvent access controls, probe vulnerabilities without written authorization, or interfere with service operation
- Use the Services to develop a competing product
- Misrepresent Platform outputs as government-issued or regulator-certified determinations
We may suspend or terminate access for violations, with notice where practicable.
8. Your Data
You retain ownership of data you submit to the Platform, such as asset locations, fleet information, and configuration data ("Customer Data"). You grant us a license to host and process Customer Data to provide the Services. We may use aggregated and de-identified data that does not identify you or any individual to improve the Services. Our handling of personal information is described in the Privacy Policy.
9. Intellectual Property
The Services, including software, models, scoring methodologies, classifications, designs, and content, are owned by PassIntel or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. No other rights are granted.
10. Confidentiality
Non-public information disclosed through the Platform or in connection with your subscription, including pricing and Platform outputs, is confidential. Each party will protect the other's confidential information with reasonable care and use it only as needed to perform under these Terms. This obligation does not apply to information that is public, independently developed, or lawfully obtained from another source.
11. Warranty Disclaimer
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available." To the maximum extent permitted by law, PassIntel disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
12. Limitation of Liability
To the maximum extent permitted by law:
- PassIntel is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, regulatory penalties, or fines, even if advised of the possibility
- PassIntel's total aggregate liability arising out of or related to the Services is limited to the amounts you paid to PassIntel in the 12 months before the event giving rise to the claim, or $100 CAD if you have paid nothing
- These limits apply regardless of the theory of liability and survive termination
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from fraud or willful misconduct.
13. Indemnification
You will defend and indemnify PassIntel against third-party claims arising from your Customer Data, your violation of these Terms, or your use of Platform outputs in violation of law.
14. Termination
You may stop using the Site at any time and may cancel a subscription effective at the end of the current billing period unless your signed agreement provides otherwise. We may suspend or terminate access for material breach. Upon termination, your right to use the Platform ends, and we will make Customer Data available for export for 30 days before deletion, except records retained for legal purposes. Sections 6, 9 through 13, and 15 through 17 survive termination.
15. Changes to the Services and Terms
We may modify the Services, including adding or retiring features. We may update these Terms by posting a revised version with an updated date. For material changes affecting active subscribers, we will give at least 30 days notice by email or in-product message. Continued use after the effective date constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws rules. The courts of Ontario have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party submits to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. General
If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. These Terms, together with the Privacy Policy, Cookies Policy, and any signed agreement, are the entire agreement between you and PassIntel regarding the Services.
